Vie Science Terms of Service

Read these Terms carefully. They are a binding legal agreement between you and Vie Science, Inc. They include (i) an important disclaimer that the Services are not medical advice and that AI-generated content is not provided by a human clinician, (ii) subscription and Subscriber terms, (iii) limits on our liability, (iv) an agreement to resolve most disputes by binding individual arbitration, and (v) a waiver of your right to participate in a class action. By clicking “I agree,” creating an account, or accessing the Services, you accept these Terms.

If you do not agree, do not use the Services. You may opt out of arbitration as described in Section 19. Subscribers are entitled to a 14-day full refund window as described in Section 5.

1. Who We Are

These Terms are entered into between you (“you” or “Member”) and Vie Science, Inc., a Delaware corporation (“Vie Science,” “we,” “us,” or “our”). Our principal address is Vie Science, Inc., 8 The Green #25042, Dover, DE 19901. You can contact us at info@vie.science.

2. Eligibility

  • You must be at least 18 years old to use the Services.
  • You must be a resident of the United States. Subscriber access from outside the United States is not currently offered.
  • You must have the legal capacity to enter into a binding agreement.
  • You agree to provide accurate, current, and complete information when registering and to keep that information updated.

If you are using the Services on behalf of another person, you represent that you are authorized to bind that person to these Terms and that you are acting as that person’s authorized agent. We may, in our discretion, decline access to anyone for any lawful reason.

3. The Services

3.1 What the Services Include

The Services consist of the following software products and features, each subject to availability:
  • Vie Insight. A free product that provides your Fertility Intelligence™ assessment, your Vie Score (0–100) and pillar sub-scores, your top strengths, opportunities, and recommended actions, a limited number of Ask Dr. C educational questions, and educational content. The personalized plan, progress tracking, and integrations are available with a paid membership.
  • Vie Optimize. A digital behavioral activation product designed to help you identify modifiable lifestyle factors that may support reproductive wellness. Vie Optimize includes an assessment of approximately 99 questions across five wellness pillars (Calm, Clean, Nourish, Move, Joy), a cycle-tracking module (Flow), and a Biology intake (Bio), generation of a Vie Score (0–100) and pillar sub-scores, a library of educational actions, and reassessment cycles.
  • Vie Precision. A digital product that integrates with diagnostic and laboratory partners you have authorized in order to provide educational insights about biomarker and reproductive health data. Vie Precision does not perform laboratory testing, does not order tests on your behalf except where you have separately authorized a partner to do so, and does not provide clinical interpretation, diagnosis, or treatment recommendations.
  • Ask Dr. C (when available). An AI-powered educational assistant designed to provide general educational responses about reproductive wellness topics covered in the Services. Ask Dr. C is a software feature that uses artificial intelligence and large language models. It is not yet generally available and will be rolled out to Subscribers on a phased basis. Additional terms specific to Ask Dr. C are set out in Section 3.3 below.
  • Educational content and reassessments. Articles, modules, and structured reassessments delivered through the platform.
3.2 What the Services Are Not

The Services are not, and do not provide:
  • Medical advice, diagnosis, treatment, or prescription.
  • A medical device, software as a medical device, or a clinical decision support tool.
  • A substitute for evaluation, advice, or care from a qualified healthcare provider.
  • A fertility predictor or a probability of conception. The Vie Score reflects behavioral readiness across modifiable factors; it does not predict whether or when you will conceive, the success of any fertility treatment, the health of any pregnancy or child, or any clinical outcome.
  • Diagnostic or laboratory services. Where you connect a third-party laboratory or diagnostic partner, that partner is solely responsible for the clinical interpretation and accuracy of their results.
  • Telehealth, telemedicine, or any service that establishes a physician-patient, nurse-patient, or other licensed clinician-patient relationship.
  • One-to-one consultation with Dr. Carmen Messerlian or any other healthcare professional. The Services do not include human clinical consultation.
3.3 Ask Dr. C — AI-Powered Educational Assistant

Ask Dr. C is an artificial intelligence software feature, not a person and not a clinician. It is inspired by, and trained on educational content reflecting, the scientific work of Dr. Carmen Messerlian, PhD, the Founder of Vie Science. It is not Dr. Messerlian, does not represent her individual opinions on any particular question, and does not provide medical advice.

By using Ask Dr. C (when it becomes available), you acknowledge and agree that:
  • All responses are generated by software using artificial intelligence and large language models. Responses are clearly labeled as AI-generated.
  • Ask Dr. C does not provide medical advice, diagnosis, treatment, or prescription. It does not, and will not, recommend specific medications, dosages, supplements, treatment plans, or clinical interventions for you.
  • Ask Dr. C may produce responses that are incomplete, inaccurate, outdated, or otherwise unreliable, including by generating content that appears authoritative but is factually incorrect (sometimes referred to as “hallucination”). You should not rely on Ask Dr. C responses for any decision affecting your health or the health of any other person.
  • Ask Dr. C does not establish a physician-patient, nurse-patient, or other licensed clinician-patient relationship with Dr. Messerlian, Vie Science, or any other party.
  • If your question concerns symptoms, a medication, a treatment decision, a laboratory result interpreted in a clinical context, or any other matter that may require clinical judgment, you should consult a qualified healthcare provider.
  • In an emergency, you must call 911 or your local emergency number. Ask Dr. C is not designed for emergency situations and should never be relied upon in one.
  • We may, on a limited and confidential basis, review Ask Dr. C interactions for safety, quality, accuracy, and compliance purposes.
  • We do not permit third-party AI providers to use your prompts or AI-generated responses to train their general-purpose models.
  • Ask Dr. C is provided on an “as is” basis and is subject to change, restriction, or discontinuation at any time.

4. Account; Security
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • Notify us promptly at info@vie.science of any unauthorized use of your account or other suspected security breach.
  • We may suspend or terminate your access if we reasonably believe your account has been compromised or used in violation of these Terms.

5. Subscribers Program; Subscription Terms

5.1 Subscriber Access

The Vie Subscribers Program provides early access to the Vie Science software platform, including Vie Optimize, Vie Precision, and Ask Dr. C as it becomes available. The specific features, pricing, term length, and benefits applicable to your Subscriber subscription are described at the time of purchase and incorporated into these Terms by reference. Subscriber spots are limited. Membership is non-transferable.

5.2 Payment

By purchasing a membership, you authorize us (and our payment processor) to charge the payment method you provide for the applicable fees, plus any applicable taxes. You represent that you are authorized to use the payment method.

5.3 Subscription Renewal

The renewal terms applicable to your Subscriber subscription will be clearly disclosed at the time of purchase. If your subscription is set to renew automatically:
  • We will clearly disclose the renewal price, renewal frequency, and cancellation method at the time of purchase and in your purchase confirmation email.
  • We will charge the payment method on file at the start of each renewal term.
  • You can cancel auto-renewal at any time through your account settings or by contacting info@vie.science. Cancellation takes effect at the end of the then-current term, and you will continue to have access through that date.
  • Where required by law (including California, New York, and similar states), we will provide notice in advance of the renewal.

5.4 Subscriber 14-Day Refund Window

As a Subscriber, you may request a full refund within fourteen (14) days of your initial purchase for any reason, by emailing info@vie.science. After 14 days, fees are non-refundable except where required by law. We will not pro-rate refunds for partial periods after the initial 14-day window.

5.5 Price Changes

We may change subscription prices for renewal terms. We will notify you of any price change at least 30 days before the change applies to you. Continued use of the Services after a price change takes effect constitutes acceptance of the new price. If you do not accept the new price, you may cancel before the change takes effect.

5.6 Beta and Pre-Release Features

Subscribers may receive early access to features (such as Ask Dr. C) that are in beta, pilot, or pre-release form. These features may be incomplete, unstable, change without notice, be limited in availability, or be discontinued. We do not guarantee continued access to any specific feature. Your feedback on pre-release features is welcomed and licensed under Section 8.

6. Acceptable Use

You agree not to:
  • Use the Services in violation of any law or regulation, or in a manner that infringes any third party’s rights.
  • Use the Services to make medical, diagnostic, or treatment decisions about yourself or any other person without consulting a qualified healthcare provider.
  • Submit prompts to Ask Dr. C that seek medical diagnosis, prescription, dosing recommendations, or other clinical decisions, with the expectation of receiving medical advice.
  • Resell, sublicense, or commercialize access to the Services.
  • Reverse engineer, scrape, decompile, or attempt to access the source code or non-public functionality of the Services, including the Vie Score methodology, Vie Precision logic, or the Ask Dr. C system.
  • Use the Services to harass, defame, or harm others.
  • Submit information about another person without their consent.
  • Bypass or interfere with security features or AI guardrails.
  • Use bots, scripts, or automated tools to interact with the Services.
  • Use the Services to train artificial intelligence models, except as we expressly permit.

7. Your Content and Information

“Member Content” means any information, responses, communications, prompts, or other content you submit to the Services. You retain ownership of your Member Content. You grant Vie Science a worldwide, non-exclusive, royalty-free license to use, host, store, process, reproduce, modify, and display Member Content solely to operate and improve the Services and as permitted by our Privacy Policy and any separate consents you provide (such as the Research Participation Consent).

You represent that you have all rights necessary to submit your Member Content and that doing so does not violate any law or third-party right.

8. Feedback

If you provide suggestions, ideas, or other feedback (“Feedback”) about the Services — including feedback on Ask Dr. C responses, beta features, or any aspect of the platform — you grant Vie Science a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose. We are not obligated to compensate you for Feedback. As an early-stage company, your Feedback is especially valuable to us, and Subscribers may be invited to participate in optional feedback channels.

9. Intellectual Property

The Services, including all text, graphics, software, scoring algorithms, the Vie Score methodology, the pillar framework, the action library, Vie Precision logic, the Ask Dr. C system and its outputs, and the term “Fertility Intelligence”™ and other Vie Science trademarks, are owned by Vie Science or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use during your subscription term, subject to these Terms.

10. Third-Party Services and Integrations

The Services may permit you to connect or interact with third-party services, including wearable device manufacturers (such as Oura), diagnostic laboratories (such as Fellow Health, Fullwell, OOVA, Virtus Health, or others), and healthcare providers. We do not control and are not responsible for the practices of these third parties. Your use of third-party services is governed by their terms and privacy policies. You are responsible for reviewing them.

11. Privacy

Our collection, use, and disclosure of your information is governed by our Privacy Policy and, where applicable, our Consumer Health Data Privacy Policy, each of which is incorporated by reference into these Terms.

12. Medical Disclaimer (Critical)

READ THIS CAREFULLY.
  • The Services are for general informational, educational, and behavioral wellness purposes only.
  • The Services are not intended to diagnose, treat, cure, or prevent any disease or condition, including infertility.
  • The Services do not provide medical advice. The Vie Score is not a medical opinion or a probability of conception. Vie Precision insights are educational and do not constitute clinical interpretation of laboratory or biomarker data.
  • Ask Dr. C is an AI-powered educational assistant. It is not a clinician, is not a person, and does not provide medical advice. AI-generated responses may be inaccurate, incomplete, or otherwise unreliable. Do not rely on Ask Dr. C for any decision affecting your health.
  • Information provided through the Services does not establish a physician-patient or other clinician-patient relationship.
  • Always seek the advice of a qualified healthcare provider with any questions you have regarding a medical condition. Never disregard, avoid, or delay seeking medical advice because of something you read or received through the Services, including from Ask Dr. C.
  • If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately. Do not use Ask Dr. C or any other feature of the Services in an emergency.
  • If you are pregnant, trying to become pregnant, or undergoing fertility treatment, do not make any change to your medication, supplement regimen, medical care plan, or treatment decisions based on the Services without consulting your healthcare provider.

13. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES — INCLUDING VIE OPTIMIZE, VIE PRECISION, AND ASK DR. C — ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VIE SCIENCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant that any information provided through the Services, including responses generated by Ask Dr. C, is accurate, complete, or current.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER VIE SCIENCE NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF VIE SCIENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) VIE SCIENCE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO VIE SCIENCE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (ii) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Vie Science and its directors, officers, employees, agents, contractors, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, including any reliance you place on AI-generated responses from Ask Dr. C, (b) your Member Content, (c) your violation of these Terms, (d) your violation of any law or third-party right, or (e) your decisions about your health, fertility, or care based on the Services.

16. Term and Termination

These Terms remain in effect while you have an account or use the Services. We may suspend or terminate your access at any time for any lawful reason, including if you violate these Terms. You may stop using the Services and close your account at any time. Sections that by their nature should survive termination will survive, including Sections 7–11 and 13–20.

17. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will provide you with notice (such as by email or in-product notice) at least 30 days before the changes take effect, except where changes are required by law or are necessary for security. If you do not agree to the changes, you may cancel your subscription before the changes take effect. Continued use of the Services after the effective date of changes constitutes acceptance of the changes. We may add, modify, restrict, or discontinue product features at any time, including Ask Dr. C while in beta or pre-release form.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 19, you and Vie Science agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any disputes not subject to arbitration.

19. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

19.1 Agreement to Arbitrate

Except for the disputes described in Section 19.4, you and Vie Science agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (each, a “Dispute”) by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if the amount in controversy exceeds $250,000, its Comprehensive Arbitration Rules).

19.2 Class Action Waiver

YOU AND VIE SCIENCE AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS. Neither you nor Vie Science may bring a Dispute as a class, collective, or representative action. The arbitrator may not consolidate the claims of multiple persons or preside over any form of class proceeding. If a court determines that this class action waiver is unenforceable with respect to any Dispute, that Dispute will be severed and resolved in court, but the remainder of this Section will remain in effect.

19.3 Arbitration Procedure
  • Before initiating arbitration, you and Vie Science agree to attempt to resolve the Dispute informally for at least 60 days following written notice to the other party.
  • Arbitration will be conducted in the State of Delaware, or remotely if requested, and may proceed on documents alone where permitted.
  • Vie Science will pay all filing and arbitrator fees for claims totaling less than $10,000, unless the arbitrator finds the claim is frivolous.
  • The arbitrator may award the same damages and relief that a court could award, but only on an individual basis. The arbitrator’s decision is final and binding.
19.4 Exceptions

This Section 19 does not apply to (a) small-claims court actions brought on an individual basis, (b) actions to enforce intellectual property rights, (c) actions to enjoin unauthorized use of the Services, or (d) any claim that cannot be subject to arbitration under applicable law.

19.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@vie.science within 30 days of first accepting these Terms. The notice must include your name, account email, mailing address, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

20. General
  • Entire Agreement. These Terms (together with the documents incorporated by reference) constitute the entire agreement between you and Vie Science regarding the Services.
  • Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
  • No Waiver. Our failure to enforce a right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
  • Notices. We may provide notices to you by email or through the Services. You may provide notices to us at info@vie.science.
  • Headings. Section headings are for convenience only.
  • Relationship. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
