Vie Science Terms of Service

Read these Terms carefully. They are a binding legal agreement between you and Vie Science, Inc. They include (i) an important disclaimer that the Services are not medical advice and that AI-generated content is not provided by a human clinician, (ii) subscription and Subscriber terms, (iii) limits on our liability, (iv) an agreement to resolve most disputes by binding individual arbitration, and (v) a waiver of your right to participate in a class action. By clicking “I agree,” creating an account, or accessing the Services, you accept these Terms.
If you do not agree, do not use the Services. You may opt out of arbitration as described in Section 19. Subscribers are entitled to a 14-day full refund window as described in Section 5.
1. Who We Are
These Terms are entered into between you (“you” or “Member”) and Vie Science, Inc., a Delaware corporation (“Vie Science,” “we,” “us,” or “our”). Our principal address is Vie Science, Inc., 8 The Green #25042, Dover, DE 19901. You can contact us at info@vie.science.
2. Eligibility
- You must be at least 18 years old to use the Services.
- You must be a resident of the United States. Subscriber access from outside the United States is not currently offered.
- You must have the legal capacity to enter into a binding agreement.
- You agree to provide accurate, current, and complete information when registering and to keep that information updated.
If you are using the Services on behalf of another person, you represent that you are authorized to bind that person to these Terms and that you are acting as that person’s authorized agent. We may, in our discretion, decline access to anyone for any lawful reason.
3. The Services
- Vie Insight. A free product that provides your Fertility Intelligence™ assessment, your Vie Score (0–100) and pillar sub-scores, your top strengths, opportunities, and recommended actions, a limited number of Ask Dr. C educational questions, and educational content. The personalized plan, progress tracking, and integrations are available with a paid membership.
- Vie Optimize. A digital behavioral activation product designed to help you identify modifiable lifestyle factors that may support reproductive wellness. Vie Optimize includes an assessment of approximately 99 questions across five wellness pillars (Calm, Clean, Nourish, Move, Joy), a cycle-tracking module (Flow), and a Biology intake (Bio), generation of a Vie Score (0–100) and pillar sub-scores, a library of educational actions, and reassessment cycles.
- Vie Precision. A digital product that integrates with diagnostic and laboratory partners you have authorized in order to provide educational insights about biomarker and reproductive health data. Vie Precision does not perform laboratory testing, does not order tests on your behalf except where you have separately authorized a partner to do so, and does not provide clinical interpretation, diagnosis, or treatment recommendations.
- Ask Dr. C (when available). An AI-powered educational assistant designed to provide general educational responses about reproductive wellness topics covered in the Services. Ask Dr. C is a software feature that uses artificial intelligence and large language models. It is not yet generally available and will be rolled out to Subscribers on a phased basis. Additional terms specific to Ask Dr. C are set out in Section 3.3 below.
- Educational content and reassessments. Articles, modules, and structured reassessments delivered through the platform.
- Medical advice, diagnosis, treatment, or prescription.
- A medical device, software as a medical device, or a clinical decision support tool.
- A substitute for evaluation, advice, or care from a qualified healthcare provider.
- A fertility predictor or a probability of conception. The Vie Score reflects behavioral readiness across modifiable factors; it does not predict whether or when you will conceive, the success of any fertility treatment, the health of any pregnancy or child, or any clinical outcome.
- Diagnostic or laboratory services. Where you connect a third-party laboratory or diagnostic partner, that partner is solely responsible for the clinical interpretation and accuracy of their results.
- Telehealth, telemedicine, or any service that establishes a physician-patient, nurse-patient, or other licensed clinician-patient relationship.
- One-to-one consultation with Dr. Carmen Messerlian or any other healthcare professional. The Services do not include human clinical consultation.
- All responses are generated by software using artificial intelligence and large language models. Responses are clearly labeled as AI-generated.
- Ask Dr. C does not provide medical advice, diagnosis, treatment, or prescription. It does not, and will not, recommend specific medications, dosages, supplements, treatment plans, or clinical interventions for you.
- Ask Dr. C may produce responses that are incomplete, inaccurate, outdated, or otherwise unreliable, including by generating content that appears authoritative but is factually incorrect (sometimes referred to as “hallucination”). You should not rely on Ask Dr. C responses for any decision affecting your health or the health of any other person.
- Ask Dr. C does not establish a physician-patient, nurse-patient, or other licensed clinician-patient relationship with Dr. Messerlian, Vie Science, or any other party.
- If your question concerns symptoms, a medication, a treatment decision, a laboratory result interpreted in a clinical context, or any other matter that may require clinical judgment, you should consult a qualified healthcare provider.
- In an emergency, you must call 911 or your local emergency number. Ask Dr. C is not designed for emergency situations and should never be relied upon in one.
- We may, on a limited and confidential basis, review Ask Dr. C interactions for safety, quality, accuracy, and compliance purposes.
- We do not permit third-party AI providers to use your prompts or AI-generated responses to train their general-purpose models.
- Ask Dr. C is provided on an “as is” basis and is subject to change, restriction, or discontinuation at any time.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- Notify us promptly at info@vie.science of any unauthorized use of your account or other suspected security breach.
- We may suspend or terminate your access if we reasonably believe your account has been compromised or used in violation of these Terms.
- We will clearly disclose the renewal price, renewal frequency, and cancellation method at the time of purchase and in your purchase confirmation email.
- We will charge the payment method on file at the start of each renewal term.
- You can cancel auto-renewal at any time through your account settings or by contacting info@vie.science. Cancellation takes effect at the end of the then-current term, and you will continue to have access through that date.
- Where required by law (including California, New York, and similar states), we will provide notice in advance of the renewal.
- Use the Services in violation of any law or regulation, or in a manner that infringes any third party’s rights.
- Use the Services to make medical, diagnostic, or treatment decisions about yourself or any other person without consulting a qualified healthcare provider.
- Submit prompts to Ask Dr. C that seek medical diagnosis, prescription, dosing recommendations, or other clinical decisions, with the expectation of receiving medical advice.
- Resell, sublicense, or commercialize access to the Services.
- Reverse engineer, scrape, decompile, or attempt to access the source code or non-public functionality of the Services, including the Vie Score methodology, Vie Precision logic, or the Ask Dr. C system.
- Use the Services to harass, defame, or harm others.
- Submit information about another person without their consent.
- Bypass or interfere with security features or AI guardrails.
- Use bots, scripts, or automated tools to interact with the Services.
- Use the Services to train artificial intelligence models, except as we expressly permit.
- The Services are for general informational, educational, and behavioral wellness purposes only.
- The Services are not intended to diagnose, treat, cure, or prevent any disease or condition, including infertility.
- The Services do not provide medical advice. The Vie Score is not a medical opinion or a probability of conception. Vie Precision insights are educational and do not constitute clinical interpretation of laboratory or biomarker data.
- Ask Dr. C is an AI-powered educational assistant. It is not a clinician, is not a person, and does not provide medical advice. AI-generated responses may be inaccurate, incomplete, or otherwise unreliable. Do not rely on Ask Dr. C for any decision affecting your health.
- Information provided through the Services does not establish a physician-patient or other clinician-patient relationship.
- Always seek the advice of a qualified healthcare provider with any questions you have regarding a medical condition. Never disregard, avoid, or delay seeking medical advice because of something you read or received through the Services, including from Ask Dr. C.
- If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately. Do not use Ask Dr. C or any other feature of the Services in an emergency.
- If you are pregnant, trying to become pregnant, or undergoing fertility treatment, do not make any change to your medication, supplement regimen, medical care plan, or treatment decisions based on the Services without consulting your healthcare provider.
- Before initiating arbitration, you and Vie Science agree to attempt to resolve the Dispute informally for at least 60 days following written notice to the other party.
- Arbitration will be conducted in the State of Delaware, or remotely if requested, and may proceed on documents alone where permitted.
- Vie Science will pay all filing and arbitrator fees for claims totaling less than $10,000, unless the arbitrator finds the claim is frivolous.
- The arbitrator may award the same damages and relief that a court could award, but only on an individual basis. The arbitrator’s decision is final and binding.
- Entire Agreement. These Terms (together with the documents incorporated by reference) constitute the entire agreement between you and Vie Science regarding the Services.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
- No Waiver. Our failure to enforce a right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
- Notices. We may provide notices to you by email or through the Services. You may provide notices to us at info@vie.science.
- Headings. Section headings are for convenience only.
- Relationship. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
